Toyo Engineering Korea Limited. (hereinafter referred to as “Toyo Korea”) held the FY2014-1st Board Meeting
on March 21, 2014 at the 9th floor conference room of Toyo Korea’s headquarter with attendance of
Mr. Toru Osanai (President & CEO), Mr. Sung-Man Han (Vice President & CFO) from Toyo Korea and the registered
directors Mr.Yutaka Kita, Mr. Tomohisa Abe and the auditor Mr. Motoji Miki from Toyo Japan. According to the
regulation, the Chairman Mr. Osanai / President & CEO, announced the opening of the Board Meeting.

And then, according to the regulation, 4(four) agenda such as;
1) The president and directors’major performance of FY2013,
2) Status of business performance of FY2013,
3) Audit report by auditors (Internal / External),
4) Evaluation on K-SOX were reported. After reporting, all of the submitted resolutions such as ; 1) Approval
of the 26th Financial Statements, 2) Approval of Statements of Appropriation of retained earnings, 3) Approval
 of Limitation of remuneration for director, 4) Business Plan of FY2014 were approved unanimously with the deep
deliberation.

Subsequently, the 26th General Shareholders’ Meeting was held upon the opening announcement by the Chairman,
Mr. Osanai / President & CEO, and the 3(three) agenda such as; 1) president and directors’ major performance,
2) business performance, 3) the audit report by auditors (Internal/External) were reported. After reporting,
total 3(three) agenda were submitted for the deliberation at General Shareholders’ Meeting such as ;
1) Approval of the 26th Financial Statements, 2) Approval of Statements of Appropriation of retained earnings,
3) Approval of Limitation of remuneration for director. Upon the cautious deliberation by all attendees, all of
resolutions were passed by unanimous consent.
