Toyo Engineering Korea held The 25th General Shareholders¡¯ Meeting and FY2013-1st Board Meeting

Toyo Engineering Korea Limited. (hereinafter referred to as ¡°Toyo Korea¡±) held the FY2013-1st
Board Meeting on March 19, 2013 at the 9th floor conference room of Toyo Korea¡¯s headquarter
with attendance of Mr. Toru Osanai (President & CEO), Mr. Sung-Man Han (Vice President & CFO)
from Toyo Korea and the registered directors Mr.Yutaka Kita, Mr. Tomohisa Abe and
Mr. Shoji Koshikawa from Toyo Japan. According to the regulation, the Chairman Mr. Osanai /
President & CEO, announced the opening of the Board Meeting.
 
Especially, all General Managers of Toyo Korea participated the Board Meeting and had
deliberated discussion through reporting 4(four) agenda such as;
1) current status and overall action plan of Toyo Korea, 2) divisional performance and target/
action plan, 3) sales performance and current status, 4) Project implementation and current
status. The discussion became a crucial opportunity to establish the mutual consensus for the
corporate sustainability management of Toyo Korea.
 
And then, according to the regulation, 4(four) agenda such as;
1) the 25th Financial Statements (the Financial Statements, the audit report by auditors (Internal/External), Evaluation on K-SOX, 2) Approval of Limitation of remuneration for director, 3) Approval of re-appointment of director, 4) Business Plan of FY2013 were reported. After reporting, all of the submitted resolutions were approved unanimously with the deep deliberation.
 
Subsequently, the 25th General Shareholders¡¯ Meeting was held upon the opening announcement by the Chairman, Mr. Osanai / President & CEO, and the 3(three) agenda such as;
1) business report, 2) the audit report by auditors (Internal/External), 3) Evaluation on K-SOX
were reported. After reporting, total 3(three) agenda were submitted for the deliberation at
General Shareholders¡¯ Meeting such as ; 1) Approval of the 25th Financial Statements, 2) Approval of Limitation of remuneration for director, 3) Approval of re-appointment of director. Upon the
cautious deliberation by all attendees, all of resolutions were passed by unanimous consent.
